Exchange 2003 Transitioning

Hi!

We need to upgrade our Exchange 2003 to 2010 and then 2013. We don't have license for 2010. Can we install Exchange 2010 on a hyper-v server as a VM and migrate our 400 Users to it for a few days and then install Exchange 2013 on a physical server and transfer our users to it from 2010?

Secondly, will it be ok to run a single VM for 400 users. We don't have a very busy and heavy email transportation. What is the recommended configuration like partition size, RAM and processor assignment for Exchange 2010 as a VM and how many Databases we should create for 400 Users? We currently have windows 2008 R2 Hyper-V but we also have license for win 2012 Data Center. Is it better to use win 2012 data center for creating VM for Exchange 2010?
